KODE5 LIMITED
KODE5 LICENSING AGREEMENT
THIS AGREEMENT is entered into dated as of this 20th day of September 2010, between KODE5 Limited (hereinafter called "K5LIMITED"), a Hong Kong Corporation with its principal office 6/F, ING TOWER, 308 DES VOEUX ROAD, CENTRAL, HONG KONG and Eki-host Sarajevo ("Partner") with offices at Trg ZAVNOBiH-12.
WHEREAS, K5LIMITED is the owner of the trademark "KODE5" (Licensed Mark); and
WHEREAS, Partner desires to use the Licensed Mark on the terms and
subject to the conditions specified herein; and
WHEREAS, K5LIMITED desires to permit Partner to use the Licensed Marks subject to the terms and conditions herein provided, and not otherwise.
IN CONSIDERATION OF THE MUTUAL PROMISES CONTAINED HEREIN, THE PARTIES AGREE AS FOLLOWS:
1. DEFINITIONS
(a) "Territory" shall mean that geographic area to which the Partner has been granted rights. Partner is hereby granted Territorial rights in Slovakia. The License granted by this Agreement to Licensee shall be valid in Slovakia only. Licensee agrees not to directly or indirectly use or authorize any other party to use the aforementioned Trademark in any other region.
(b) "Event" shall mean the K5LIMITED event, KODE5. KODE5 is a world-wide event to be held for the participation of gamers in 16 regions with the final contest to determine the winner of KODE5.
2. APPOINTMENT AND AUTHORITY OF PARTNER
(a) Appointment. Subject to the terms and conditions set forth herein, K5LIMITED hereby grants the exclusive, royalty-free license to use the Licensed Mark in connection with the promotion and execution of the Event in the Territory, provided that the Event continues to consist of high-quality gaming-oriented programming. K5LIMITED appoints Partner as exclusive Hosting partner for the development, promotion and execution of Event in the Territory, and Partner hereby accepts such appointment. Appointment is granted for the exclusive rights for the use of the KODE5 brand for only the Event and in only the Territory specified. The right to use the Trademark granted by this Agreement shall only be used in the business operated by Licensee. Licensee agrees not to directly or indirectly use or authorize any other party to use the aforementioned Trademark in any other manner. Event sponsors in the Territory shall be allowed to use the Trademark in its communication only in the Territory, subject to approval by K5LIMITED. Partner will submit a plan for Territory to K5LIMITED for approval by September 30, 2010. If a plan for the Territory has not been approved in writing by K5LIMITED prior to this date, this agreement will automatically be voided.
(b) Territorial Responsibility. Partner shall plan, organize, finance, and execute the regional KODE5 in Territory following the plans and guidelines approved by both the Partner and K5LIMITED. The Partner shall pursue aggressive marketing policies and procedures to realize the maximum marketing potential for the event in the territory.
